By using this website, Spendwell's apps and content, you agree to these Terms of Use.

By using Spendwell, its apps and content, you agree to be bound by these Terms of Use. If you don’t agree to be bound by these Terms, do not use Spendwell, its apps and content. If you are accessing and using Spendwell, its apps and content on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms of Use. In that case, “you” and “your” and “member” will refer to that company or other legal entity as well as yourself.

Users and Members

Users are any persons, while representing corporations and/or themselves, who use Spendwell, its apps and content with or without creating an account with Spendwell or create a limited, annonymous user account. Members are any persons who register an individual Spendwell Membership account with Spendwell. Corporations, other businesses and accounts registered to represent corporations or other businesses are not Spendwell Membership accounts. Sections of these Terms of Use that specifically reference Members, apply to Members. All of the rest of these Terms of Use apply to both Users and Members.

Good faith use of Spendwell

Spendwell.com, Spendwell’s apps and all content produced by Spendwell are made available for use by the general public and Spendwell Members at Spendwell’s discretion. Spendwell can and will revoke usage ability or membership for any reason Spendwell deems appropriate. Revocation of membership and/or user privileges can occur for any reason Spendwell deems appropriate, which includes the following Prohibited Activities.

Prohibited Activities

While utilizing this site, another Spendwell product or any content produced by Spendwell, you agree that you will not do any of the following:

  • Intentionally misrepresent yourself or others including individuals, companies, nongovernmental organizations, governments or other entities. Intentional misrepresentation includes, but is not limited to, selecting usernames that lead other members, users or the general public to assume an association between your membership or user account and another individual, company, nongovernmental organization, government or other entity.
  • Misrepresent your company, if you represent a company.
  • Misrepresent any company, organization or group of people.
  • Mistreat or otherwise abuse others. Mistreatment and abuse are defined by Spendwell at Spendwell's discretion. Abusive username selection is prohibited.
  • Knowingly provide false information to Spendwell.
  • Create more than one member account.
  • Maliciously or insincerely participate in Spendwell’s various user-controlled or user-supported features such as value priorities, data contributions, open standards development and member voting.
  • Misrepresent Spendwell’s work, the work of any Spendwell Member or the work of any regulator, news media or nongovernmental organization reported by Spendwell. Misrepresentation of this work includes claiming it as your own.

In addition to the above prohibited activities, members and users of Spendwell commit to not discriminate on the basis of race, color, religion or creed, gender, gender expression, age, national origin, ancestry or heritage, disability or ability, marital status, sexual orientation or identity, or military status, in any way while using Spendwell’s apps, products and services.

For Members, participating in these Prohibited Activities or any other activity Spendwell deems inappropriate, such as abusive or discriminatory activity, is grounds for being suspended from Spendwell and having your Membership account deactivated. For Users, participation in these Prohibited Activities or any other activity Spendwell deems inappropriate could result in IP blocking, username modifcation, account modification or any other response Spendwell deems appropriate.

No robots, only humans

Only living people can become Spendwell Members. Spendwell can and will implement any method it deems necessary in order to verify that you are a real person. Member accounts for non-humans will be deleted upon discovery and the humans found to be responsible for the non-human accounts will be blocked and/or banned from using Spendwell.

Eligibility

You may use Spendwell.com, its apps and content if you agree to these Terms of Use. You may become a Spendwell Member only if you are 13 years or older and capable of forming a binding contract with us, and are not barred from using Spendwell.com, its apps and content under applicable law.

Memberships have no monetary value once acquired

Spendwell Membership benefits have no cash or other marketable value and cannot be sold or exchanged.

Spendwell Memberships do not represent Spendwell corporate ownership or control in any way

Rights, benefits and privileges granted by Spendwell as part of our Membership Benefits do not imply any sort of ownership or control of Spendwell, Inc, its products, services or any content produced by Spendwell. These membership rights, benefits and privileges are granted at the sole discretion of Spendwell, Inc. and can be revoked at anytime, for any reason Spendwell determines to be appropriate.

You or Spendwell may cancel your membership at anytime

If, for any reason, you no longer wish to continue your membership with Spendwell, you may cancel your membership using the membership discontinuation option in your account settings.

Similarly, for any reason Spendwell deems appropriate, Spendwell may cancel your membership or user account. Spendwell reserves the right to cancel your membership or user account without notice.

Once your discontinuation or cancellation is complete, all information you have provided to Spendwell will be completely deleted from Spendwell systems and databases, unless prevented by law or law enforcement from doing so. This is consistent with your right to be forgotten by Spendwell.

Corporate data reported from primary sources and Spendwell Members is provided as is

Spendwell is not responsible for the integrity of corporate data produced by third parties, including regulatory bodies, news media or nongovernmental organizations. Most, if not all of the data Spendwell compiles for its reporting is produced by one of these aforementioned third parties. When corporations or other entities have reported inaccurate or out-of-date data that becomes included in a Spendwell report, Spendwell will both audit the data in question and update all related reports, if necessary.

Spendwell does not offer investment advice

Spendwell sources all data used in its rankings and reports through government regulatory entities, recognized nongovernmental organizations, news media and independently verifiable company self-reporting. The veracity of this information is generally excellent, but is reliant, in most instances, on information provided by companies to regulators, NGOs, media and the public. Spendwell disclaims any liability arising from use of Spendwell’s reporting, rankings or any other content on spendwell.com or otherwise provided by Spendwell. Spendwell is a tool for consumers and does not provide investment advice; therefore, nothing on Spendwell.com or content otherwise provided by Spendwell should be construed as an offering of investment advice. If you believe information reported by Spendwell or included in one of Spendwell’s rankings is inaccurate, please contact Spendwell requesting an investigation and/or editorial correction.

Spendwell offers no warranty

All of Spendwell’s services, products and content are provided “as is,” without warranty of any kind. Without limits to the foregoing, Spendwell explicitly disclaims any warranties of merchantability, fitness for a particular use, quiet enjoyment or non-infringement as well as any warranties arising out of the course of dealing, course of performance and/or usage of trade. Spendwell makes no warranty that Spendwell’s services, products and/or content will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Spendwell makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any content, report or other piece of information provided by Spendwell in any capacity. Spendwell makes no warranty with respect to any particular report, campaign or other piece of information provided by Spendwell.

Indemnity

You will indemnify and hold Spendwell and Spendwell’s officers, directors, employees and agents harmless from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (a) your access to or use of the Spendwell’s website, apps and/or content produced by Spendwell, (b) content you produce using Spendwell’s site or apps, or (c) your violation of these Terms of Use.

These Terms of Use are subject to change

Spendwell Membership Benefits, Privacy Policy and Terms of Use are subject to change at any time. Spendwell will notify you either via email or through a notification on this website if Spendwell makes any changes to any of these that impact you directly. If you are not a Spendwell Member, please be sure to check the Terms of Use and Privacy Policy pages of this site for any future changes.
